ADDITIONALLY, SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.
  4. Customer acknowledges that the exclusions, disclaimers, and limitations of liability set forth in the Agreement are essential components of the Agreement and form the basis for determining the price charged for the Services, and that Company would not enter into the Agreement without these limitations on its liability. These limitations will apply notwithstanding any failure of essential purpose of any limited remedy.

  4. Force Majeure. In no event will Company be liable or responsible to you, or be deemed to have defaulted under or breached the Agreement, for any failure or delay in fulfilling or performing any of its obligations under the Agreement, when and to the extent such failure or delay is caused by any circumstances beyond Company’s reasonable control, including acts of God, flood, fire, earthquake or explosion, war, terrorism, invasion, riot or other civil unrest, embargoes or blockades in effect on or after the date of the Agreement, national or regional emergency, strikes, labor stoppages or slowdowns or other industrial disturbances, passage of law or any action taken by a governmental or public authority, including imposing an embargo, export or import restriction, quota or other restriction or prohibition or any complete or partial government shutdown, or national or regional shortage of adequate power or telecommunications or transportation.

All disputes arising from or relating to the Agreement will be within the exclusive jurisdiction of the state or federal courts located within the State of Delaware and the parties hereby consent to such exclusive jurisdiction and waive objections to venue therein.
  10. Severability. If any provision or part of a provision of the Agreement is unlawful, void or unenforceable, that provision or part of the provision is deemed severable from the Agreement and does not affect the validity and enforceability of any remaining provisions.
  11. Miscellaneous. The failure of a party to exercise or enforce any right or provision of the Agreement will not operate as a waiver of such right or provision.
